01Services
Dispatcher will search for and negotiate loads, communicate with brokers and shippers, complete broker setup packets, and provide administrative support including rate confirmations, invoicing assistance, and document management.
02Carrier authorization
Carrier authorizes Dispatcher to act on its behalf in negotiating rates and signing rate confirmations only with Carrier’s approval. Carrier retains the right to accept or reject any load.
03Dispatch fee
Carrier agrees to pay Dispatcher a percentage of the gross line-haul rate of each load booked by Dispatcher, at the rate listed for Carrier’s equipment type. Fees are invoiced weekly and due within the agreed payment terms.
04Required documents
Carrier must provide and keep current a W9, Certificate of Insurance naming required certificate holders, and MC Authority. Carrier must notify Dispatcher immediately of any change in insurance or operating status.
05Independent relationship
Dispatcher and Carrier are independent contractors. Nothing in this agreement creates an employment, partnership, or joint venture relationship. Dispatcher is not a broker and does not take possession of or responsibility for freight.
06Term & termination
There is no long-term contract. Either party may terminate the agreement with written notice. Fees for loads booked before termination remain due.
07Full agreement
